Module 05 - International Corporate Finance and Governance

The objective of this course is to develop students' knowledge of the strategic as well as legal and regulatory aspects surrounding international corporate restructuring activity, and to equip them with techniques as well as a framework for analysing and participating in the arrangement of mergers, acquisitions, divestitures, Leveraged Buy-Outs and other forms of corporate restructurings. The course introduces theories of corporate restructuring activity, discusses the controversy over the benefits of M&As and considers related corporate governance issues such as agency problems and managerial incentives. The course also deals with legal and regulatory aspects of friendly deals and takeovers; it examines stakeholders' rights, antitrust issues, takeover and securities laws. The core of the course is devoted to valuation techniques and value creation through restructuring.
